Are you US investor ready?

In advising local companies that are on to a big idea, the topic of raising US venture money comes up frequently. I have briefed US VCs on Victoria startups and get asked all the time if the legal paperwork that a Canadian company does is going to be US investor ready. Now while I know what US investor ready looks like for a US venture having lived in Silicon Valley for 15 years and done 3 startups there I don't know exactly what the incorportation and share/subscription paperwork needs to look like in Canada to make sure a comapny is silicon valley investor-reday. Have any of our local legal wizards been through a US investor due diligence and could comment on this?
